Terms of Use
These Terms of Use (“Terms”) are a binding agreement between you and CYDENiC, Inc., a Delaware corporation, governing your access to and use of DraftLOGIC at draftlogic.pro and its related applications (the “Service”). DraftLOGIC is a property of CYDENiC, Inc. (“DraftLOGIC,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1.Eligibility
You must be at least 13 years old to use the Service, and by using it you represent that you meet this requirement. If you are between 13 and the age of majority where you live, you represent that your parent or legal guardian permits your use of the Service and agrees to these Terms on your behalf.
2.Your Account
You must provide accurate information when you register and keep it current. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. We offer two-factor authentication and recommend you enable it. Notify us promptly at support@draftlogic.pro of any unauthorized use of your account.
3.The Service and Recommendations
DraftLOGIC provides fantasy-football draft-preparation tools, rankings, projections, recommendations, and an in-app assistant. All recommendations and outputs are informational only and are a good-faith effort. DraftLOGIC makes no guarantee as to their accuracy, completeness, or any outcome, and you are solely responsible for the decisions you make. See our Disclaimer.
4.Connected Fantasy Platforms
If you connect a third-party fantasy platform (such as Yahoo, Sleeper, or ESPN), you authorize us to access and sync the league and team data you permit, and you agree to comply with that platform’s own terms. You may disconnect a platform at any time. We are not responsible for third-party platforms or their data.
5.Acceptable Use
You agree not to:
- use the Service in violation of any law or the rights of others;
- copy, scrape, harvest, reverse engineer, or attempt to extract source code, data sets, or models from the Service, except as permitted by law;
- interfere with, disrupt, or place undue load on the Service or its infrastructure, or attempt to gain unauthorized access;
- resell, sublicense, or commercially exploit the Service without our written permission; or
- upload or submit content that is unlawful, infringing, or harmful.
6.Your Content
You retain ownership of the content you submit, such as your leagues, strategies, and notes (“Your Content”). You grant us a non-exclusive, worldwide, royalty-free license to host, process, and use Your Content solely to operate and improve the Service. You are responsible for Your Content and represent that you have the right to submit it.
7.Fees and Purchases
The Service is currently free during the beta. If we offer paid plans or other purchases in the future, the applicable prices, billing terms, renewal, cancellation, and refund terms will be presented to you at the point of purchase, and payments will be handled by a third-party payment processor. You authorize us and our processor to charge your selected payment method for the purchases you make.
8.Intellectual Property
The Service, including its software, the CYDENiC governed processors, rankings and models, design, and the DraftLOGIC and CYDENiC names and logos, is owned by CYDENiC, Inc. or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use in accordance with these Terms. No other rights are granted.
9.Third-Party Services
The Service uses third-party providers, including an AI provider (Anthropic) that powers the in-app assistant, connected fantasy platforms, and, for purchases, a payment processor. Your use of those services may be subject to their own terms, and we are not responsible for third-party services.
10.Disclaimer of Warranties
THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY OF ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
11.Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CYDENiC, INC. AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100).
12.Indemnification
You agree to indemnify and hold harmless CYDENiC, Inc. and its affiliates from any claims, damages, and expenses (including reasonable legal fees) arising out of your misuse of the Service, your violation of these Terms, or your violation of any law or the rights of a third party.
13.Suspension and Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, if necessary to protect the Service or other users, or if we discontinue the Service. Sections that by their nature should survive termination will survive.
14.Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. You and CYDENiC, Inc. agree that any dispute arising out of or relating to these Terms or the Service will be brought and heard exclusively in the state district courts located in Collin County, Texas (and in the federal courts having jurisdiction over Collin County, Texas), and you consent to the personal jurisdiction of those courts.
15.Changes to These Terms
We may update these Terms from time to time. We will update the version and effective date above, and, where a change is material, we may ask you to review and accept the updated Terms. Your continued use of the Service after an update means you accept the updated Terms.
16.Miscellaneous
These Terms, together with the policies referenced here, are the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
